By accessing or using Celtedge ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of the terms, you may not access the Service. These Terms apply to all visitors, users, and others who access or use the Service. By using the Service, you represent that you are at least 18 years of age and have the legal capacity to enter into these Terms.

Description of Service

Celtedge provides a cloud-based property operations software platform that includes: • Work order management and tracking • Tenant portal for maintenance requests • Maintenance documentation and records • Preventive maintenance scheduling • Property and asset management • Team collaboration tools We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice.

Account Registration

To use certain features of the Service, you must register for an account. When you register, you agree to: • Provide accurate, current, and complete information • Maintain and promptly update your account information • Maintain the security and confidentiality of your login credentials • Accept responsibility for all activities under your account • Notify us immediately of any unauthorized access We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activity.

Subscription and Payment

Access to the Service requires a paid subscription. By subscribing, you agree to: • Pay all fees associated with your subscription plan • Authorize us to charge your payment method on a recurring basis • Provide accurate billing information • Notify us of any changes to your payment method Subscription fees are billed in advance on a monthly or annual basis. All fees are non-refundable except as expressly stated in these Terms or required by law. We may change our fees upon 30 days' notice.

User Responsibilities

You are responsible for your use of the Service and agree not to: • Violate any applicable laws or regulations • Infringe upon intellectual property rights of others • Upload malicious code, viruses, or harmful content • Attempt to gain unauthorized access to systems or data • Use the Service to send spam or unsolicited communications • Interfere with the proper functioning of the Service • Impersonate any person or entity • Collect personal information about other users without consent You are solely responsible for the content you upload, share, or store using the Service.

Intellectual Property

The Service and its original content, features, and functionality are owned by Celtedge and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You retain ownership of content you upload to the Service. By uploading content, you grant us a limited license to store, display, and process that content as necessary to provide the Service. You may not copy, modify, distribute, sell, or lease any part of our Service without express written permission.

Data Ownership and Portability

You retain all rights to the data you enter into the Service. We provide tools to export your data in standard formats. Upon termination of your account: • You may request an export of your data within 30 days • We will retain your data for 30 days after termination • After 30 days, your data may be permanently deleted • Certain data may be retained as required by law

Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to: • Scheduled maintenance (with advance notice when possible) • Emergency maintenance or repairs • Factors beyond our reasonable control • Updates and improvements to the Service We are not liable for any loss or damage resulting from Service unavailability.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CELTEDGE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO: • Loss of profits, data, or business opportunities • Service interruption or data loss • Unauthorized access to your data • Any third-party conduct or content OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Indemnification

You agree to defend, indemnify, and hold harmless Celtedge and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from: • Your use of the Service • Your violation of these Terms • Your violation of any third-party rights • Content you upload or share through the Service

Termination

Either party may terminate this agreement at any time: • You may cancel your subscription through your account settings • We may terminate or suspend your account for Terms violations • We may terminate with 30 days' notice for any reason Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination will remain in effect.

Dispute Resolution

Any disputes arising from these Terms or the Service shall be resolved through: 1. Informal negotiation between the parties 2. Mediation if negotiation fails 3. Binding arbitration as a last resort These Terms shall be governed by the laws of the United States, without regard to conflict of law principles. Any legal action must be brought within one (1) year of the claim arising.

Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by: • Posting the updated Terms on our website • Sending an email to registered users • Displaying a notice within the Service Your continued use of the Service after changes constitutes acceptance of the new Terms. If you disagree with changes, you must stop using the Service.

General Provisions

• **Entire Agreement**: These Terms constitute the entire agreement between you and Celtedge regarding the Service. • **Severability**: If any provision is found unenforceable, the remaining provisions remain in effect. • **Waiver**: Failure to enforce any provision does not constitute a waiver of that provision. • **Assignment**: You may not assign these Terms without our consent. We may assign our rights freely. • **Force Majeure**: We are not liable for delays or failures caused by circumstances beyond our reasonable control.
